Chairman Devitt called the meeting to order.

Reorganization of the IDA – 2018 Appointments 

• First Vice-Chairman Williams motioned to appoint F. Edward Devitt as Chairman, seconded by Member Winchell. All in favor, all ayes, Member Jennings was absent, motion carried.
  Chairman Devitt motioned to appoint Edwin Williams as First Chairman, seconded by Second Vice-Chairman Rainaldi. All in favor, all ayes, Member Jennings was absent, motion carried.
• Chairman Devitt motioned to appoint Stephen Rainaldi as Second Vice Chairman, seconded by First Vice Chairman Williams. All in favor, all ayes, Member Jennings was absent, motion carried.
• First Vice Chairman Williams motioned to appoint Donna Jennings as Treasurer, seconded by Second Vice Chairman Rainaldi. All in favor, all ayes, Member Jennings was absent, motion carried.
• Chairman Devitt motioned to appoint Rodney Winchell as Assistant Treasurer, seconded by First Vice Chairman Williams. All in favor, all ayes, Member Jennings was absent, motion carried.
• Member Winchell motioned to appoint Anthony Zambrotta as Assistant Secretary, seconded by Second Vice Chairman Rainaldi. All in favor, all ayes, Member Jennings was absent, motion carried.
• Chairman Devitt motioned to appoint Suzanne Hadden as Secretary for the IDA, seconded by Member Winchell. All in favor, all ayes, Member Jennings was absent, motion carried.
• Second Vice Chairman Rainaldi motioned for Member Winchell and Chairman Devitt to investigate possible persons to hold the CEO position and to report back to the Members on the prospective candidates, seconded by First Vice Chairman Williams. All in favor, all ayes, Member Jennings was absent, motion carried.

Audit, Finance and Governance Committee Appointments

• Chairman Devitt motioned to appoint First Vice Chairman Williams, Second Vice Chairman Rainaldi and Member Winchell for the Audit Committee, seconded by Second Vice Chairman Rainaldi. All in favor, all ayes, Member Jennings was absent, motion carried.
• Chairman Devitt motioned to appoint First Vice Chairman Williams, Second Vice Chairman Rainaldi and Chairman Devitt for the Finance Committee, seconded by First Vice Chairman Williams. All in favor, all ayes, Member Jennings was absent, motion carried.
• Chairman Devitt motioned to appoint First Chairman Williams, Second Vice Chairman Rainaldi and Chairman Devitt for the Governance Committee. All in favor, all ayes, Member Jennings was absent, motion carried.

Treasurer’s Report

• Member Jennings was absent and there weren’t any reports reviewed that evening.

Other Business

• Attorney Scott handed folders to the Members concerning IDA information.
• Attorneys Cregg and Scott discussed with the Members the updated applications for applicants, the filing requirements for the P.A.R.I.S system and an application proposal in the Town.

Approval of the November 13, 2017 IDA Meeting Minutes 

• Chairman Devitt motioned to approve the November 13, 2017 meeting minutes as presented, seconded by First Vice Chairman Williams. All in favor, all ayes, Member Jennings was absent, motion carried.

Chairman Devitt motioned to adjourn the meeting, seconded by Second Vice-Chairman Rainaldi. All in favor, all ayes, Member Jennings was absent, motion carried.
